A game overlay is a function that allows you to interact with windows (messenger, mail, browser etc.) outside the game while playing in full screen, and without having to ALT-TAB, which requires the game to reinitialise its graphics. The windows are rendered inside the game. Be warned that -- from what I've seen in these forums -- the W3 overlay is buggy and causes a lot of issues, including crashes. Try playing in borderless window instead.

It's not necessary to install the overlay. While it will have more function in the future at the moment it mostly only lets you know when you've gotten an achievement in-game. It's still very much in the test stages and, as Hickory says, it seems to cause some issues on some systems.
